Digital Interactive Agency Services Terms and Conditions

Agreement Overview

This Agreement is entered into by and between Service Provider and the client for the provision of digital interactive agency services as described in the attached scope of work or proposal.


Service Provider agrees to provide the services as outlined in the scope of work or proposal, including but not limited to website development, digital marketing, interactive design, and other related services.

Payment Terms

1.Fees:Client agrees to pay Service Provider the agreed-upon fees as specified in the scope of work or proposal.

2.Payment Schedule: Payment shall be made according to the payment schedule outlined in the scope of work or proposal. Invoices not paid within days of the due date shall be subject to late fees.

Intellectual Property

1.Ownership:All intellectual property created during the provision of Services, including but not limited to websites, designs, and marketing materials, shall be the exclusive property of the Client upon full payment.

2.License:Service Provider grants Client a non-exclusive, royalty-free license to use the deliverables created during the provision of Services for the intended purpose outlined in the scope of work.


Both parties agree to keep confidential all information exchanged during the term of this Agreement, including but not limited to trade secrets, business plans, and client lists.


Either party may terminate this Agreement with written notice if the other party breaches a material term of this Agreement. Termination does not relieve Client’s obligation to pay for Services provided before termination.

Liability and Indemnification

Service Provider shall not be liable for any indirect, consequential, or incidental damages arising out of or in connection with the Services. Client agrees to indemnify and hold Service Provider harmless from any claims, damages, or losses arising from the use of the deliverables.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Your Jurisdiction.


1.Entire Agreement:This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral.

2.Amendments:Any amendments to this Agreement must be in writing and signed by both parties.
